Terms of Service
These Terms are a binding contract. They include an arbitration agreement and class-action waiver (Section 17), a limitation of liability (Section 13), and a disclaimer of warranties (Section 12). Read them carefully.
1. Who these Terms are between
This Service is operated by Dotco Technologies LLC, a limited liability company formed in to be completed ("Dotco Technologies", "we", "us", or "our"). "Signalstrm", "Signal", and the website at signalstrm.com (together, the "Service") are services of Dotco Technologies LLC.
"You" and "Customer" mean the entity or person that registers for or uses the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
2. Acceptance and changes
By creating an account, accessing, or using the Service you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy, each incorporated by reference. If you do not agree, do not use the Service.
We may modify these Terms from time to time. If a change is material, we will give notice by email to the account's billing or admin contact and/or by a notice in the Service at least 14 days before it takes effect. Changes required by law or that address new features may take effect immediately. Your continued use of the Service after a change becomes effective is acceptance of the revised Terms.
3. Accounts, workspaces, and teams
- Authentication is provided through a third-party identity provider (Google sign-in via Clerk). You are responsible for maintaining the security of the Google account you use to sign in and for all activity that occurs under your account.
- A "workspace" (Clerk organization) is an isolated instance of the CRM. The person who creates a workspace, and anyone they designate as an admin, control who may access it and with what role.
- You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business use, not for personal, family, or household purposes.
- You must provide accurate account and billing information and keep it current.
4. The Service and changes to it
The Service is provided on a software-as-a-service basis. Some areas of the Service are described as "coming soon" or similar and may not be available. We may add, change, or remove features, and we may impose or modify limits (for example on storage, records, or API usage), at our discretion. We will not make a change that materially reduces the core functionality of a paid workspace during a paid term without offering you a pro-rated refund of the unused portion as your sole remedy.
5. Fees, billing, and taxes
- Free tier. A workspace on the free tier may create up to 5 total records (advertisers, contacts, and deals combined). Creating more requires a paid subscription.
- Paid subscription. The paid plan is billed in advance at $399 per workspace per month, plus any one-time build or setup fee stated in a separate written quote or order form. Payment is processed by our payment processor (Stripe, via Clerk Billing); your use of payment services is also subject to their terms.
- Renewal. Subscriptions renew automatically for successive periods of the same length until cancelled. You may cancel at any time, effective at the end of the current billing period.
- No refunds. Except where required by law or expressly stated in these Terms, fees are non-refundable and are not pro-rated on cancellation. Downgrading or cancelling may cause loss of access to features or content.
- Late or failed payment. If a charge fails or an amount is past due, we may suspend or downgrade the workspace after reasonable notice.
- Price changes. We may change fees for a renewal term by giving notice at least 30 days before the term begins.
- Taxes. Fees are exclusive of taxes. You are responsible for all sales, use, VAT, GST, and similar taxes, excluding taxes on our net income.
6. Customer Data
"Customer Data" means data, files, and content that you or your users submit to the Service. As between the parties, you own Customer Data and are responsible for it, including its accuracy, legality, and your right to submit it and to have it processed by the Service.
You grant us a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely to provide and maintain the Service, to prevent or address technical or security problems, to comply with law, and as otherwise instructed by you. Where our processing of personal data within Customer Data on your behalf is subject to data protection law, our Data Processing Addendum applies and forms part of these Terms.
You are responsible for maintaining your own copies of Customer Data. We keep routine backups for disaster recovery, but backups are not a substitute for your own records and we do not guarantee that any particular data can be recovered.
7. Acceptable use
You must comply with the Acceptable Use Policy. You are responsible for your users' compliance. We may investigate suspected violations and may remove content or suspend access as described there and in Section 11.
8. Your responsibilities for outreach and communications
The Service can be used to store contact information and to plan outreach. You are solely responsible for your communications with third parties, including compliance with anti-spam, telemarketing, "do not call", and consumer-protection laws (for example the U.S. CAN-SPAM Act and TCPA, the EU/UK GDPR and ePrivacy rules, and CASL). You must have a lawful basis to contact the people whose information you load into the Service, and you must honor their opt-out and deletion requests.
9. Intellectual property
We and our licensors own all rights in the Service, including its software, design, and documentation, and all related intellectual property. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service, or use it to build a competing product.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
10. Third-party services
The Service relies on and integrates with third-party services (see our Subprocessors page). We are not responsible for third-party services, their availability, or their acts or omissions. Your use of a third-party service is governed by that provider's terms.
11. Suspension
We may suspend your access to all or part of the Service, with notice where practicable, if (a) your account is overdue; (b) we reasonably believe the Service is being used in violation of these Terms or the Acceptable Use Policy, or in a way that poses a security, legal, or operational risk to us, the Service, or others; or (c) we are required to do so by law. We will restore access promptly once the cause is resolved.
12. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free, or that data will not be lost. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law:
- Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility.
- Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $100.
These limits do not apply to your payment obligations, to either party's indemnification obligations, or to liability that cannot be limited by law.
14. Indemnification
You will defend, indemnify, and hold harmless Dotco Technologies and its officers, members, employees, and agents from and against any third-party claim, and any resulting losses, liabilities, damages, and reasonable legal fees, arising out of (a) Customer Data; (b) your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law; or (c) your outreach or communications with third parties.
15. Term and termination
- These Terms apply for as long as you have an account or use the Service.
- You may stop using the Service and delete your workspace at any time. Cancelling a paid subscription is described in Section 5.
- We may terminate these Terms and your access for material breach that is not cured within 15 days of notice, immediately for a violation of the Acceptable Use Policy or for non-payment after notice, or on 30 days' notice if we cease offering the Service.
- Effect of termination. Access ends. You may request an export of Customer Data within 30 days after termination; after that period we may delete Customer Data. Sections that by their nature should survive (including 6, 9, 12–14, 16, 17, and 18) survive.
16. Governing law
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Dispute resolution; arbitration; class-action waiver
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@signalstrm.com. If it is not resolved within 60 days, either party may bring a formal proceeding.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by a recognized arbitration provider under its commercial rules, before a single arbitrator, seated in to be completed, California. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. Disputes will be arbitrated only on an individual basis. You and Dotco Technologies waive any right to participate in a class, collective, or representative action.
Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or equitable relief in court for infringement or misuse of intellectual property or confidential information.
Opt-out. You may opt out of this Section 17 by emailing legal@signalstrm.com within 30 days of first accepting these Terms, stating your name and account. Opting out does not affect the other provisions of these Terms.
18. General
- Entire agreement. These Terms, the documents they incorporate, and any order form or written quote are the entire agreement between the parties and supersede prior discussions.
- Order of precedence. If there is a conflict, a signed order form controls over these Terms, which control over other referenced policies, except that the DPA controls for the processing of personal data.
- Assignment. You may not assign these Terms without our consent, except to a successor of your business that is not our competitor. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure due to events beyond its reasonable control.
- No waiver; severability. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the rest remains in effect.
- Independent contractors. The parties are independent contractors; these Terms create no partnership, agency, or joint venture.
- Notices. We may send notices to the email on your account. You may send legal notices to Dotco Technologies LLC at to be completed and legal@signalstrm.com.
